Comprehensive Terms and Conditions of Service

1. Introduction and Legally Binding Agreement
Welcome to Take Point (“we,” “our,” “us,” or the “Company”). The following Comprehensive Terms and Conditions of Service (the “Agreement” or “Terms”) constitute a legally binding electronic contract between you, whether personally or on behalf of an entity (“you,” “your,” or the “User”), and Take Point. This Agreement governs your access to, browsing of, and use of the Take Point website, as well as the purchase and utilization of any digital subscriptions, products, content, features, and associated services (collectively, the “Services”) offered through our platform.
By accessing our website, creating a registered account, executing a transaction, or interacting with our automated Telegram Bot systems, you expressly and unequivocally acknowledge that you have read, comprehensively understood, and voluntarily agreed to be bound by all the stipulations, rules, policies, and guidelines contained within this Agreement. This includes our Privacy Policy and any other operational rules that may be published from time to time. If you do not agree with the entirety of these Terms, you are expressly prohibited from using our Site and Services and must discontinue your access immediately. Continued use of the Site after any modifications to these Terms implies your continued acceptance of the updated terms.
2. Definitions and Interpretations
To prevent any ambiguity and to ensure a clear understanding of the rights and obligations herein, the following capitalized terms shall have the meanings ascribed to them below:
- “Digital Subscription”: Refers to the non-tangible, time-restricted access granted to a User to view and participate in exclusive Telegram channels managed by Take Point, upon successful payment of the required fees.
- “Platform” or “Site”: Refers to the Take Point e-commerce website infrastructure, its subdomains, and any associated web applications used to facilitate the sale and management of Subscriptions.
- “Telegram Bot API”: The customized, automated software integration utilizing the Telegram Application Programming Interface, designed by Take Point to manage User verification, channel invitations, and automated removals based on subscription validity.
- “Intellectual Property”: Refers to all copyrights, trademarks, trade secrets, patents, design rights, confidential information, and any other proprietary rights pertaining to the content, layout, text, graphics, and strategies provided by Take Point.
- “Force Majeure Event”: Any event beyond the reasonable control of the Company, including but not limited to acts of God, governmental actions, internet backbone outages, third-party platform (e.g., Telegram) bans or server failures, and natural disasters.
3. Account Registration, Eligibility, and Security
To utilize our Services, you are required to register an account. By registering, you warrant and represent that you meet the following eligibility criteria and accept the associated responsibilities:
3.1 Age Restriction: You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence, to form a binding contract. By utilizing our Services, you declare that you possess the legal capacity to enter into this Agreement. We do not knowingly collect information from or provide services to minors.
3.2 Accuracy of Information: You agree to provide true, accurate, current, and complete information during the checkout and registration process. Our automated delivery system relies exclusively on the accuracy of the email address and Telegram identifiers you provide. Failure to provide accurate data may result in the non-delivery of the Service, for which Take Point shall not be held liable.
3.3 Account Confidentiality: You are solely and entirely responsible for maintaining the strict confidentiality of your account credentials (username and password). You agree to accept full responsibility for any and all activities, charges, and damages that occur under your account. You must notify us immediately of any unauthorized access or breach of security. Take Point will not be liable for any losses caused by any unauthorized use of your account.
3.4 Non-Transferability: Your account, subscription, and access privileges are strictly personal to you. You may not sell, trade, gift, or otherwise transfer your account or subscription benefits to any third party under any circumstances.
4. Nature of Digital Services and Delivery Mechanisms
4.1 Service Description: Take Point provides access to curated, premium digital content distributed exclusively via the Telegram messaging application. Upon successful payment verification, our automated Bot will process your data and grant you access to the designated channel for the duration specified at the time of purchase (e.g., 30 calendar days).
4.2 Third-Party Dependency: You acknowledge that the delivery and consumption of our Services are inherently dependent on a third-party platform (Telegram). We do not own or control Telegram. Therefore, we cannot guarantee 100% uptime of the Telegram application. Any downtime, bans, or technical changes implemented by Telegram that temporarily or permanently affect your ability to access our channels are out of our control and do not constitute a breach of this Agreement by Take Point.
5. Pricing, Billing, and the Manual Renewal Protocol
5.1 Secure Payments via Telr: All financial transactions are processed securely through our authorized payment gateway partner, Telr. We strictly comply with PCI-DSS standards and do not process, capture, or store your sensitive credit card information (such as full card numbers or CVV codes) on our proprietary servers at any time.
5.2 Pricing Adjustments: Take Point reserves the right to modify the pricing structure of its subscriptions at any time without prior direct notice. However, any price alterations will only affect new purchases or future renewals and will not retroactively affect the duration of a subscription you have already paid for.
5.3 Strict Manual Renewal System: We operate on a transparent, non-recurring billing model. We do not employ automatic subscription renewals (Auto-Pay). It is your sole responsibility to monitor your subscription expiration date. To maintain uninterrupted access to the Telegram channels, you must proactively log into your Take Point account and execute a new, manual payment transaction before the expiration of your current term.
5.4 Automated Expiration and Removal: If a manual renewal payment is not successfully authorized and completed by the exact expiration date and time of your current cycle, our Telegram Bot API is programmed to automatically and immediately revoke your access and remove your account from all premium channels. We are not liable for any loss of data, information, or missed content resulting from this automated removal due to your failure to renew manually.
6. Strict Refund and Cancellation Policy
Due to the specific nature of digital goods—which are instantly accessible, downloadable, and non-returnable once consumed—Take Point implements a strict, transparent, and legally compliant Refund Policy.
6.1 The General “No Refund” Rule: By purchasing a digital subscription, you acknowledge that you are gaining immediate access to proprietary digital content. Therefore, all sales are considered final. Take Point does not offer refunds, partial refunds, or credits for any reason once the payment has been processed and access has been granted. This includes, but is not limited to, situations involving buyer’s remorse, lack of utilization of the channel, dissatisfaction with the content, or forgetting to utilize the service.
6.2 The Sole Exception (Technical Failure): The only circumstance under which a refund request will be entertained is in the event of a verifiable, critical technical failure originating exclusively from Take Point’s server infrastructure or Bot API, which demonstrably prevents you from joining the Telegram channel for a continuous period exceeding forty-eight (48) hours immediately following your successful payment. To qualify for this exception, you must contact our support team within three (3) days of the purchase date. If our team is unable to manually rectify the issue and grant you access, a full refund will be issued back to the original payment method.
6.3 Cancellation: Since we do not use auto-billing, the concept of “canceling” a subscription simply means choosing not to process a manual renewal payment for the subsequent billing cycle. Your access will naturally expire at the end of your paid term.
7. Acceptable Use Policy and User Conduct
To protect the integrity of our Services and the experience of all users, you agree to adhere strictly to the following Acceptable Use Policy (AUP) while interacting with our Site and within the Telegram channels:
- Strict Prohibition on Content Distribution: You are explicitly forbidden from copying, downloading, scraping, screenshotting, forwarding, or distributing any proprietary information, texts, signals, analyses, or media shared within the premium Telegram channels to any external individuals, groups, or public platforms.
- Respectful Interaction: You agree not to engage in any behavior that is defamatory, abusive, harassing, threatening, discriminatory, or otherwise objectionable towards Take Point staff or other channel members.
- No Spam or Commercial Exploitation: You may not use our channels to solicit members, post unauthorized advertisements, share affiliate links, or promote competing services.
- Zero Tolerance Enforcement: Take Point employs a zero-tolerance policy regarding AUP violations. Any breach of these behavioral guidelines will result in the immediate and permanent termination of your subscription, the banning of your IP address and Telegram account, and expulsion from all channels without any refund or prior warning. Furthermore, we reserve the right to pursue legal action for damages arising from intellectual property theft.
8. Intellectual Property Rights and Copyright
All content, features, functionalities, designs, text, graphics, logos, algorithms, and methodologies present on the Take Point website and disseminated within the Telegram channels are the exclusive intellectual property of Take Point or its licensors. This intellectual property is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Your purchase of a subscription grants you a limited, non-exclusive, non-transferable, and revocable license to access and view the content solely for your personal, non-commercial use. You acquire no ownership rights whatsoever.
9. Comprehensive Disclaimers
9.1 “As Is” and “As Available” Basis: The Services are provided strictly on an “as is” and “as available” basis. Take Point makes no representations or warranties of any kind, express or implied, regarding the operation of the Services, the accuracy, completeness, reliability, or suitability of the information and content provided. We disclaim all warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
9.2 Informational Purposes Only (No Professional Advice): Any content, analysis, opinions, or data shared within our Telegram channels or on our Site is provided strictly for educational and informational purposes only. It must not be construed as professional financial, investment, legal, or medical advice. You acknowledge that any reliance upon such information is entirely at your own risk. Take Point assumes no responsibility for any decisions made or actions taken by you based on the content provided.
10. Limitation of Liability and Indemnification
10.1 Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Take Point, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content. In no event shall the aggregate liability of Take Point exceed the total amount paid by you for the specific subscription period during which the alleged claim arose.
10.2 Indemnification: You agree to defend, indemnify, and hold harmless Take Point and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) any intellectual property infringement resulting from your actions.
11. General Legal Provisions
11.1 Force Majeure: Take Point shall not be held liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is caused by a Force Majeure Event. In such circumstances, our obligations shall be suspended for the duration of the event.
11.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
11.3 Governing Law and Jurisdiction: These Terms shall be governed and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration or through the competent courts located within the Kingdom of Saudi Arabia.
11.4 Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
